You’ll be able to share your121Files with other users of the Services, as well as enable them122to contribute to and build upon them and share them as well.123When you create Files, you can, if you choose, specify the terms124and conditions that govern other users’ use of your Files (e.g.125a specific software or creative commons license) ("126<b>File License</b>"). Similarly, if you download, access or use127another user’s Files through the Services, you agree that you128will use such Files strictly in accordance with the File License129terms associated with that File (if any), as indicated through130the Services. You204will be billed immediately upon an upgrade from the free plan to205any paid plan. Paid plans may include free temporary trial206periods. For paid plans where payment is due on a monthly basis,207you will be billed for the Services in advance on a monthly208non-refundable basis. Except as otherwise set out in these209terms, there will be no refunds or credits for partial months of210service, upgrade/downgrade refunds, or refunds for months unused211with an open Account. No exceptions will be made. When changing212from a monthly billing cycle to a yearly billing cycle, SMI will213bill you for a full year upon the next monthly billing date. All214fees due hereunder in connection with the Services are exclusive215of all taxes, levies, or duties imposed by taxing authorities,216and you shall be responsible for payment of all such taxes,217levies, or duties, excluding only United States (federal or218state) taxes on SMI’s net income. For any upgrade or downgrade219in paid plan level while on a monthly billing cycle, you will220automatically be charged the new rate on your next billing221cycle. For upgrades or downgrades while on a yearly plan, SMI222will immediately charge or refund the difference in plan cost,223prorated for the remaining time in your yearly billing cycle.224Downgrading your plan may cause the loss of access to Content,225features, or capacity of your Account. SMI does not accept any226liability for such loss. We may suspend or terminate the227Services if fees are 30 days past due. You agree to pay, and228authorize SMI’s third party payment processor to charge using229your selected payment method, for all applicable fees and taxes230that may accrue in relation to your use of the Services. If your claim does not661exceed $10,000, then the arbitration will be conducted solely on662the basis of the documents that you and SMI submit to the663arbitrator, unless you request a hearing or the arbitrator664determines that a hearing is necessary. If your claim exceeds665$10,000, your right to a hearing will be determined by the AAA666Rules. Subject to the AAA Rules, the arbitrator will have the667discretion to direct a reasonable exchange of information by the668parties, consistent with the expedited nature of the669arbitration.{" "}670</p>671<h2>Arbitrator’s Decision</h2>672<p>673The arbitrator will render an award within the time frame674specified in the AAA Rules. The arbitrator’s decision will675include the essential findings and conclusions upon which the676arbitrator based the award. The678arbitrator’s award of damages must be consistent with the terms679of the "Limitation of Liability" section above as to the types680and amounts of damages for which a party may be held liable.
